Terms of Service

Effective May 2, 2026 (revised)

These Terms of Service (the “Terms”) govern your use of PRAPI (the “Service”), operated by StartVest LLC (“StartVest”, “we”, “our”) at prapi.dev and app.prapi.dev. By creating an account or using the Service, you agree to these Terms.

1. The Service

PRAPI is a software-as-a-service platform that helps multi-brand operators surface relevant journalist source-requests, draft pitches in their authored voice, and ship submission packages to journalists. We may add, change, or remove features over time.

2. Eligibility & account

  • You must be at least 18 years old.
  • Account information you provide (name, email, brand bios, etc.) must be accurate. You’re responsible for keeping your credentials confidential and for activity under your account.
  • One human, one account — sharing accounts violates these Terms. Add additional users via the workspace member invitation flow instead.

3. Acceptable use

You agree not to:

  • Use the Service to send pitches that misrepresent your identity, credentials, or relationship to a brand.
  • Submit pitches to journalists who have asked not to be contacted, or who have opted out via journalist-specific exclusion lists you import.
  • Forward inbound emails the sender has marked confidential, or attempt to harvest personal information about journalists beyond what they publicly disclose.
  • Reverse-engineer the Service, scrape it at automated rates not contemplated by your plan, or interfere with other customers’ use.
  • Attempt to access another customer’s data, brands, or account.

We may suspend or terminate your account for violations, with notice when feasible.

3.1 Forwarded source platforms

PRAPI receives queries that you forward from third-party platforms such as HARO, Featured, Help a B2B Writer, Substack newsletters, and similar source services. You are responsible for ensuring that your forwarding to PRAPI complies with the terms of each source platform. We do not grant rights to circumvent any third-party platform’s terms of service, and we may block ingestion from a specific platform on request from that platform or if forwarding from it materially conflicts with their published terms. You agree to indemnify and hold StartVest harmless from any claim brought by a source platform arising from your forwarding activity.

3.2 API, CLI, and MCP access

Your API key authenticates as you. You are responsible for any action taken under your key, including by AI assistants (Claude Code, Cursor, ChatGPT connectors, and similar) or contractors you authorize to use it. Treat your key like a password: do not commit it to public repositories, do not share it across operator accounts, and rotate it from your dashboard if you believe it has been exposed.

3.3 Fair-use limits

Each plan includes fair-use caps (currently 2,000 scored queries and 200 generated drafts per brand per calendar month, scaling with your brand count). We will contact you before throttling and work with you to lift caps for legitimate workflows; over-cap usage is a support conversation, not an automatic block. We reserve the right to update fair-use limits with at least 30 days’ notice to existing customers.

4. Your content

You retain ownership of brand bios, voice rules, drafts, and other content you upload or create through the Service (“Customer Content”). You grant StartVest a limited, worldwide, royalty-free license to host, transmit, and process Customer Content solely to operate the Service for you. We do not use Customer Content to train AI models or for any purpose beyond delivering the Service.

brief.md files specifically. The brief.md format is governed by the open brief.md specification, stewarded by The Integrity Framework, a separate organization that holds the brief.md trademark independently of StartVest. You may export your brief.md content at any time and use it with any other tool that implements the spec. StartVest does not claim ownership of the brief.md format and does not restrict your right to take your brief.md elsewhere.

5. AI-generated output

PRAPI uses large-language-model inference (Anthropic’s Claude) to draft pitches and score queries. You acknowledge that:

  • Drafts are suggestions; you are responsible for reviewing every pitch before sending.
  • AI output is not legal, financial, medical, or other professional advice.
  • You are responsible for compliance with the disclosure rules of any jurisdiction or platform you operate in (including AI-disclosure obligations for sponsored or commissioned content).

6. Plans, billing, refunds

  • Subscription fees are billed in advance via Stripe at the cadence shown at checkout.
  • You can cancel a subscription at any time from your account settings; your access continues until the end of the current billing period and we do not pro-rate refunds for partial periods.
  • Lifetime deal (LTD) tiers — including any AppSumo offering — are governed by the terms shown at purchase, including the LTD-specific refund window. Outside that window, LTD purchases are non-refundable.
  • We may change pricing for new subscriptions at any time; changes to existing subscriptions are communicated at least 30 days in advance.

7. Third-party services

The Service relies on third parties — including Microsoft Azure (hosting), Anthropic (AI inference), Stripe (payments), Cloudflare (DNS/CDN), and the OAuth providers you choose to sign in with. Outages or changes at those providers may affect availability. We don’t control them and their terms apply when you interact with them.

8. Termination

You can close your account at any time. We may suspend or terminate your account for breach of these Terms, non-payment, or risk to the Service or other customers. On termination, we will retain your data per the retention schedule in our Privacy Policy.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that the AI-generated output will be accurate, appropriate, or suitable for your purposes.

10. Limitation of liability

To the maximum extent permitted by law, StartVest’s aggregate liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) USD $100. We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data.

11. Indemnification

You agree to indemnify and hold StartVest harmless from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your use of the Service, or your violation of these Terms.

12. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in New Castle County, Delaware, and the parties consent to personal jurisdiction there.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email to active customers at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
